Applicable worldwide to professional buyers (B2B) and end consumers (B2C).
These General Terms and Conditions of Sale (“GTCS”) govern the commercial relationship between CURTIDOS BADIA, S.A.U. and any person, business or professional purchasing products through the curtidosbadia.com online store, regardless of country of residence.

These GTCS apply to all purchases through curtidosbadia.com, regardless of the buyer’s country of origin and whether the buyer acts as a professional or business (B2B) or an end consumer (B2C).
[ PROFESSIONAL BUYERS — B2B ]
A professional buyer is any legal person or self-employed individual purchasing in the course of business or professional activity. Consumer-specific rights—withdrawal, ODR and consumer jurisdiction—do not apply to this profile. For purchases made through this channel, these GTCS will ALWAYS prevail over any signed framework agreement, which will cease to apply to those purchases.
[ END CONSUMERS — B2C ]
An end consumer is a natural person purchasing for private use outside any professional activity. All rights under consumer-protection law in the consumer’s country of residence apply, including withdrawal, Online Dispute Resolution (ODR) and the jurisdiction of the consumer’s country.
By completing checkout, the buyer declares their status and accepts the version of these GTCS in force when the contract is concluded.

Leather is a natural material of animal origin. Variations in texture, shade and grain between batches are inherent to the product. Finished hides are sold on a “Run of the Tannery” (R.O.T.) basis, meaning that THE BATCH IS SUPPLIED WITHOUT PRIOR SORTING OR GRADING BY GRAIN QUALITY (first, second or third grade). The Buyer accepts natural marks and structural variations inherent to the animal. The Seller nevertheless guarantees that the batch has passed finishing-process quality control, ensuring uniform color fixation, coating adhesion and the even thickness stated in each article’s technical sheet. Pieces with critical finishing defects—such as film detachment, dense pigment stains, tears and/or burns caused by machining—are excluded. Color references correspond to the PANTONE®* values assigned to each article; perceived color may vary with monitor calibration. Purchasing the physical color chart is recommended for final color validation before placing larger orders.

The purchasing process consists of:
The contract is formed when CURTIDOS BADIA, S.A.U. sends the order confirmation after verifying billing and shipping information, successful payment processing and stock availability. Receipt of payment alone does not constitute acceptance of the order.
CURTIDOS BADIA, S.A.U. may reject or cancel an order because of an error in price or product description, payment or buyer-data verification problems, lack of stock, force majeure or reasonable evidence of fraud. A paid order that is cancelled will be refunded in full within 14 calendar days using the same payment method.
Prices are stated in euros (€) and include the Spanish VAT rate applicable at purchase (currently 21%). Intra-EU sales to B2B buyers with a valid VAT number may be exempt. EU-resident B2C buyers are charged VAT under the applicable One Stop Shop (OSS) regime. For buyers outside the EU, prices exclude local duties and taxes in the destination country, which are the buyer’s responsibility.
Shipping charges are not included in the product price and are detailed in clause 5.
Payment is processed through Redsys Servicios de Procesamiento, S.L. / Comercia Global Payments E.P. S.L. / CaixaBank S.A. using encrypted SSL and the CURTIDOS BADIA, S.A.U. virtual POS. Methods may include bank transfer, Visa, Mastercard, JCB, Discover, China UnionPay, Apple Pay, Google Pay, AliPay, Bizum and PayGold, plus other enabled methods. This list is indicative and non-exhaustive; it is not a commitment that a method will remain available. CURTIDOS BADIA, S.A.U. may add, remove or modify methods at its discretion and is not liable for providers’ operational or technical limitations, interruptions, or resulting damage.
Remote-payment transactions are subject to Strong Customer Authentication (SCA) under PSD2, although the card issuer may exempt authentication in certain cases. CURTIDOS BADIA, S.A.U. does not store bank-card data or payment credentials.
In the event of non-payment or chargeback, CURTIDOS BADIA, S.A.U. may suspend supply and claim outstanding amounts plus late-payment interest under Spanish Law 3/2004.
Orders are prepared at the CURTIDOS BADIA, S.A.U. production center in Igualada (Barcelona) within three (3) to six (6) business days after confirmation.
Orders are sent through a carrier and/or logistics operator of the company’s choice. The shipping cost is calculated automatically at checkout based on destination, weight and dimensions and is paid before order confirmation.
The shipping cost is always displayed before confirmation. If an issue is found after processing for a particular destination or volume, CURTIDOS BADIA, S.A.U. may contact the buyer and offer the best available option before dispatch.
The default Incoterm 2020 for orders of up to 30 hides delivered within the EU customs territory—excluding territories of a Member State outside the EU’s common or customs rules—is DDP (Delivered Duty Paid), under which the seller bears all costs and risks of bringing the goods to the destination country.
For orders of more than 30 hides delivered within that territory, CURTIDOS BADIA, S.A.U. will provide a customized quotation from the most suitable carrier. Dispatch will occur only after the buyer confirms the cost. The Incoterm 2020 agreed in the order confirmation will apply.
For deliveries outside the EU customs territory, including excluded territories of Member States, CURTIDOS BADIA, S.A.U. will provide a customized shipping quotation. Dispatch will occur only after buyer confirmation, under the Incoterm 2020 agreed in the order confirmation.
Such orders may be subject to customs procedures, duties, import taxes and/or excise taxes in the destination country or territory, all of which are the buyer’s sole responsibility. CURTIDOS BADIA, S.A.U. is not liable for customs delays.
The buyer must inspect the goods on receipt. Visible damage to packaging or product must be reported to online@curtidosbadia.com within five (5) business days of receipt with photographs; otherwise no return will be accepted. If no report is made within that period, the goods are deemed received in good condition.
If the goods do not match the confirmed order, the buyer must report this within five (5) business days of receipt. CURTIDOS BADIA, S.A.U. will verify the discrepancy and, where appropriate, replace the goods or credit the relevant amount.
Manufacturing defects not apparent on receipt must be reported within five (5) business days after discovery.
Claims do not cover, without limitation, natural leather variations; differences in grain, texture or slight shade between batches; scars, insect or parasite marks, wrinkles or ribs naturally present in the animal hide; or quality variation resulting from sale without prior sorting or grading by grain quality (first, second or third grade).
[ APPLIES ONLY TO END CONSUMERS (B2C) ]
Under Directive 2011/83/EU and Spanish Royal Legislative Decree 1/2007, end consumers may withdraw from the contract within fourteen (14) calendar days after receiving the product without giving a reason.
Before the deadline, the consumer must notify CURTIDOS BADIA, S.A.U. by email to online@curtidosbadia.com with the subject “Withdrawal — Order no. [number]”, or by post to C/ Sol, 52, 08700 Igualada (Barcelona).
The product must be returned within fourteen (14) calendar days after notice, in its original condition and without use, alteration, handling, loss of quantity or any deterioration not present on dispatch. Return costs are borne by the consumer. CURTIDOS BADIA, S.A.U. will refund the full product price within fourteen (14) calendar days after receiving the return, using the original payment method.
The right of withdrawal does not apply to professional buyers (B2B).

Under Regulation (EU) 524/2013, EU consumers are informed of the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr, which enables out-of-court resolution of disputes arising from online sales contracts.
Technical sheets, the color guide, catalogues, photographs and other material on curtidosbadia.com are owned by CURTIDOS BADIA, S.A.U. Unauthorized reproduction, distribution or public communication is prohibited. Technical materials may be used only for internal product evaluation within a commercial relationship with Curtidos Badia.
Buyer personal data is processed under the Privacy Policy available on curtidosbadia.com. The legal basis is performance of the contract (Article 6(1)(b) GDPR).
Except in cases of wilful misconduct or gross negligence, CURTIDOS BADIA, S.A.U. is not liable for indirect loss, loss of profit or consequential damage arising from breach of contract. Maximum liability to the buyer is limited to the value of the order giving rise to the claim.
CURTIDOS BADIA, S.A.U. is not liable for delays caused by the carrier, customs holds, force majeure or incorrect shipping information supplied by the buyer.
CURTIDOS BADIA, S.A.U. is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, strikes, armed conflict, government restrictions, supply interruptions or failures of essential third-party providers. The buyer will be informed as soon as possible.
These GTCS are governed by Spanish law.
[ PROFESSIONAL BUYERS — B2B ]
Any dispute is submitted to the exclusive jurisdiction of the Courts of Igualada (Barcelona), with express waiver of any other venue.
[ END CONSUMERS — B2C ]
EU-resident end consumers may exercise their rights before the competent courts of their country of residence under applicable consumer-protection law. For consumers outside the EU, Spanish law and the jurisdiction of the Courts of Igualada apply, without prejudice to rights granted by the law of their country of residence.
